BY SIGNING UP FOR AN ACCOUNT OR BY USING ANY ORDER EDITING SERVICE IN ANY WAY, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS which also incorporate by this reference, Order Editing Privacy Policy, and all other terms or policies that may be published from time to time on the Site ("Terms of Use", "Terms").

Order Editing reserves the right, at any time: (1) to modify or update any of the Terms of Use, said modification or update being effective upon its posting on the Site; (2) to suspend or interrupt the access to or the operation of the Service, or any portion of it, as necessary to perform maintenance and/or for any other reasonable purpose; and/or (3) to modify or change the Service, or any portion of it, including adding, removing or modifying features and options within the Service.

Your continued use of the Service shall be considered Your acceptance to the revised Terms of Use. SHOULD YOU OBJECT TO ANY OF THE TERMS OF USE OR ANY SUBSEQUENT MODIFICATIONS, YOUR ONLY RECOURSE IS TO DISCONTINUE THE USE OF THE SERVICE.

1. DEFINITIONS

1.1 General

When used in these Terms with the initial letters capitalized, the following terms shall have the following meanings:

  • Account means any and all Order Editing accounts created by or on behalf of User.
  • Order Editing, Our, Us, We means the applicable Order Editing Contracting Party.
  • API means the application programming interfaces developed and enabled by Order Editing.
  • Confidential Information means all information disclosed by User to Order Editing or by Order Editing to User which is in tangible form and labelled "confidential".
  • Data means all data, electronic data, text, messages, photos, images, audio materials, videos or any other content submitted to the Service by You.
  • Personal Data means any information relating to an identified or identifiable natural person included in the Data.
  • Service means any and all services provided by Order Editing to User.
  • User, You, Your means any individual or Entity and its Associates using the Site and/or the Services.

1.2 Definition and description of Order Editing Services

Order Editing app means the services provided by Order Editing in connection with editing customer orders. Any new or modified features added to the Service are also subject to these Terms.

2. ORDER EDITING CONTRACTING PARTY

"Order Editing" means Order Editing, Ltd. a company incorporated in Delaware with registered offices situated at 1111b South Governors Avenue, Dover, DE 19904 US.

3. GENERAL CONDITIONS; ACCESS TO AND USE OF THE SERVICE

3.1 Subject to the compliance by Website User with these Terms, Website User has the right to access and use the portion of the Service provided by Order Editing for free and with no subscription, as detailed on the Site.

3.2 In order to subscribe to paid Service Plans, User shall pay usage fees or sign a Service Order.

3.3 An Internet connection is required for proper transmission of the Service. User is responsible for procuring and maintaining the network connections.

3.4 You agree:

  • Not to license, sublicense, sell, resell, rent, lease, transfer, assign, distribute or time share any rights granted by these Terms
  • Not to modify, adapt, or hack the Service or otherwise attempt to gain unauthorized access
  • Not to use the Service in any unlawful manner
  • Not to use the Service to send unsolicited or unauthorized junk mail, spam, pyramid schemes
  • Not to use the Service to store content that infringes on any person's intellectual property rights
  • Not to attempt to decipher, decompile, reverse engineer the Software

3.5 The Service is not available to individuals who are younger than 18 years old.

3.6 Order Editing may provide templates, workflows, settings, recommendations, implementation guidance, support, examples, or other materials related to legal, regulatory, or commerce topics, including consumer withdrawal rights, cancellation rights, tax, fulfillment, payment, or international commerce requirements. These materials are provided for informational purposes only and do not constitute legal, tax, regulatory, or compliance advice.

3.7 You are solely responsible for determining whether and how to use the Service for Your business's legal, regulatory, platform, and commerce obligations. You are responsible for designing, configuring, implementing, testing, operating, and maintaining any order-editing, cancellation, withdrawal, fulfillment, payment, tax, notification, or related workflows or settings used for compliance.

3.8 Order Editing does not monitor Your business, storefront, jurisdictions, configurations, orders, workflows, or legal obligations for ongoing compliance, and Order Editing has no obligation to notify You of changes in laws, regulations, directives, platform rules, commerce rules, or international requirements that may affect Your business. You are responsible for staying informed of law or rule changes that affect Your business and for updating Your Order Editing settings, Shopify configuration, customer communications, and related systems as needed.

3.9 To the fullest extent permitted by law, Order Editing is not responsible or liable for Your failure to comply with any applicable laws, regulations, directives, platform rules, commerce rules, consumer-protection requirements, or international trade or commerce obligations arising from Your use, configuration, or implementation of the Service.

4. RESTRICTED BUSINESS LIST

Use of or access to the Service is prohibited for Users located or having activities in any country which is embargoed, sanctioned or prohibited by any government.

5. ACCEPTABLE USE

User shall not use the Service in connection with Prohibited and Restricted Products and Services.

6. CONFIDENTIALITY

Subject to the express permissions of these Terms, You and Order Editing will protect each other's Confidential Information from unauthorized use, access or disclosure in the same manner as each protects its own Confidential Information, but with no less than reasonable care.

7. PERSONAL DATA

7.1 As part of the provision of the Services, Order Editing acts as a Data Processor and processes Personal Data based on the instructions of the User.

7.2 Order Editing collects certain information about the Account, Your Data, Users, End-Users as Data Controller. Order Editing uses, discloses, and protects this data as described in Order Editing Cookies Policy and Order Editing Privacy Policy.

7.3 Data Sharing with Merchant-Enabled Integrations

The Service allows You to connect optional third-party integrations (for example fulfillment, warehouse management, subscription, loyalty, SMS/email marketing, fraud-prevention, and address-validation providers). When You enable an integration, You instruct Order Editing to share the Personal Data of Your customers with that integration vendor to the extent required for the integration to function. Data is only shared with an integration vendor after You have actively connected and configured that integration in Your Order Editing account; disabling the integration stops further sharing. This Section does not apply to the infrastructure vendors Order Editing itself relies on to operate the Service (such as hosting, logging, and observability providers) — those vendors act solely on Order Editing's behalf and are listed as sub-processors in the Order Editing Data Processing Agreement and Privacy Policy.

Example — ShipHero. If You enable the ShipHero integration, Order Editing will transmit customer Personal Data to ShipHero so Your warehouse records stay in sync with edits made through the Service. For instance: (a) when a customer changes their shipping address on an order, Order Editing sends the updated recipient details — name, street address, city, postal/ZIP code, state/province, country, and phone number — to ShipHero so the parcel is dispatched to the correct address; and (b) when a customer edits an order that is already queued for fulfillment, Order Editing may place or release a fulfillment hold in ShipHero referencing that customer's order. Other integrations You enable (for example ShipStation, ShipBob, Mintsoft, Recharge, Skio, Klaviyo, Postscript, Yotpo, Kount, or SEON) receive equivalent categories of Personal Data as necessary for their respective functions.

7.4 You are responsible for ensuring that Your own privacy policy and Your agreements with Your customers permit the sharing described in Section 7.3, and that each integration vendor You enable offers an adequate level of data protection for Your customers' Personal Data.

8. INTELLECTUAL PROPERTY RIGHTS

Subject to these Terms, Order Editing hereby grants You a non-exclusive, non-transferable, non-sublicensable, limited right and license to use the Service. The rights granted herein are subject to Your compliance with these Terms of Use.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL ORDER EDITING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. TERMINATION

Either party may terminate these Terms at any time for any reason by providing notice to the other party. Upon termination, your right to use the Service will immediately cease.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
